Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ProofGate’s websites, software, and APIs (collectively, the “Service”). By using the Service, you agree to these Terms.

1) The Service

ProofGate provides deterministic consequence rails for AI systems, including policy gating, approvals, signed receipts, and audit truth. You are responsible for how you configure and use the Service, including any tools you connect and actions you authorize.

2) Eligibility and account access

You must be legally able to enter into these Terms. You are responsible for maintaining the security of your email account and any authentication sessions. ProofGate uses magic-link authentication; do not share login links or session devices with untrusted parties.

3) API keys and security

  • You may generate API keys in your dashboard. API keys are credentials; you are responsible for their confidentiality and rotation.
  • You must not attempt to bypass plan limits, rate limits, or policy gates.
  • You must not use ProofGate to perform unlawful actions, to compromise systems, or to exfiltrate data.
  • ProofGate may suspend or revoke keys or accounts to protect the Service and other users.

4) Acceptable use

You agree not to:

  • Use the Service for illegal, harmful, or fraudulent activity.
  • Interfere with or disrupt the Service, including abuse of endpoints or excessive load.
  • Attempt to reverse engineer or circumvent security, authorization, or usage limits.
  • Upload or transmit malware or exploit attempts.
  • Use ProofGate to send spam or unauthorized communications.

5) Plans, billing, and subscriptions

Certain features require a paid subscription. When you subscribe, you authorize ProofGate and its payment processor (e.g., Stripe) to charge your payment method. Subscriptions renew automatically until canceled. You can manage billing and cancellation through the customer billing portal.

If a payment fails or a subscription is past due, we may downgrade, suspend, or restrict access to paid features until payment is resolved.

6) Data, logs, and audit truth

ProofGate is designed to produce receipts and audit evidence. You acknowledge that the Service may record usage and audit events needed for security and operational integrity. You are responsible for the content you send to the Service and for complying with your own privacy and contractual obligations.

You should not send secrets in plaintext. When integrating tools, use least privilege and proper policy constraints. ProofGate’s purpose is to reduce accidental or adversarial consequence, but no system can prevent misuse if you intentionally grant broad permissions.

7) Intellectual property

  • ProofGate and its associated branding, software, and documentation are owned by ProofGate and/or its licensors and are protected by intellectual property laws.
  • You retain ownership of your content and data. You grant ProofGate permission to process your data solely to provide and secure the Service.

8) Service availability and changes

We may modify, update, or discontinue parts of the Service. We aim for high availability, but we do not guarantee uninterrupted operation. Maintenance, incidents, and dependency outages may occur.

9) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFGATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROOFGATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. PROOFGATE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO PROOFGATE FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11) Indemnification

You agree to indemnify and hold harmless ProofGate from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, including your connected tools, your policy configuration, and your actions authorized through ProofGate.

12) Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service and other users. Termination does not relieve you of outstanding payment obligations.

13) Governing law

These Terms are governed by the laws applicable in the jurisdiction where ProofGate operates, without regard to conflict of laws principles.
